Terms of Use

The rules that govern access to and use of the AERP platform and the aerp.dev website, operated by Abror Programming LLC.

These Terms of Use ("Terms") form a binding agreement between you ("Customer", "User", "you") and Abror Programming LLC ("Abror Programming", "AERP", "we", "us"), registered in Tashkent, Republic of Uzbekistan. They apply to the aerp.dev website, the AERP enterprise resource planning platform and all related mobile, web and Telegram-based applications (together, the "Service"). By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

1. Description of the Service

AERP is a multi-tenant, cloud-based enterprise resource planning (ERP) system that helps businesses manage human resources, sales, warehouse and inventory, cash operations, production, finance and accounting, and business intelligence from a single workspace, with an optional AI assistant and Telegram bot integrations.

The Service is provided "as is" and "as available". We continuously develop AERP, so specific modules, limits, integrations and the user interface may change, be renamed, expanded or deprecated over time, as described in Section 6.

2. Eligibility and Accounts

To use AERP you must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract.

You may register using your phone number and basic profile details (full name, gender, date of birth), or by signing in with your Telegram account through Telegram's official OAuth login. Some actions in the Service require confirming a one-time code sent to your phone number.

You are responsible for:

  • providing accurate, current and complete information when registering and keeping it up to date;
  • keeping your password, session tokens and any device used to access AERP secure and confidential;
  • all activity that occurs under your account, whether authorized by you or not, until you notify us of unauthorized use;
  • the actions of every employee or collaborator you invite into your organization's workspace and to whom you assign roles or permissions.

3. Organizations, Roles and Customer Data

When you create or join an organization inside AERP, an administrator of that organization controls which modules are enabled and which roles and permissions are assigned to each member. We are not responsible for internal access decisions made by your organization's administrators.

"Customer Data" means the data your organization enters into AERP — employee records, orders, warehouse stock, financial entries, documents, images and any other business content you upload or generate while using the Service. As between you and us, you and your organization retain all ownership rights to Customer Data. We process Customer Data solely to provide, secure and improve the Service, in accordance with our Privacy Policy.

You are solely responsible for the accuracy, legality and appropriateness of Customer Data you or your organization submits, including ensuring you have the right to process any personal data of your employees or clients that you enter into AERP.

4. Subscription Plans, Billing and Payments

AERP is offered under several subscription plans (including a Free plan) described on our Pricing page, each with its own module access, seat count, storage and usage limits. Plan features and prices may be updated from time to time; material changes to paid plans will be announced in advance.

Paid plans are billed monthly or yearly, in advance, in Uzbek som (UZS) unless stated otherwise. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date from your account settings.

If your organization exceeds the limits of its current plan (e.g. seats, storage or module usage), the affected feature is blocked or restricted rather than silently over-billed — you will be prompted to upgrade your plan or reduce usage to regain full access.

Fees already paid are non-refundable except where required by applicable law or expressly stated otherwise. If a payment fails or is not received, we may suspend access to paid features until the balance is settled, after providing reasonable notice.

5. Acceptable Use

You agree not to, and not to permit any third party to:

  • use the Service for any unlawful purpose or in violation of any applicable law, including data protection and labor law applicable to your organization;
  • attempt to gain unauthorized access to any part of the Service, other customers' data, or the infrastructure supporting AERP;
  • probe, scan, or test the vulnerability of the Service, or bypass rate limits, authentication or plan restrictions;
  • reverse-engineer, decompile or disassemble the Service, except to the extent such restriction is prohibited by law;
  • resell, sublicense, rent or provide the Service to third parties as a stand-alone commercial offering without our prior written consent;
  • upload malicious code, or content that infringes the intellectual property or privacy rights of others;
  • use automated means to scrape data from the Service outside of the APIs and export features we provide.

We may suspend or restrict access to any account reasonably suspected of violating this section, while investigating, in order to protect the Service and other customers.

6. Changes to the Service

We may add, change, or discontinue features, modules or integrations of AERP at any time. Where a change materially reduces the functionality you are paying for, we will make reasonable efforts to notify affected organizations in advance through the Service, email or Telegram.

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (e.g. hosting, Telegram, payment providers) or force-majeure events may cause temporary unavailability.

7. Intellectual Property

The Service, including its software, source code, design, trademarks, logos and the "AERP" and "Abror Programming" names, is the property of Abror Programming LLC and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

Subject to your compliance with these Terms and payment of applicable fees, we grant your organization a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

8. Third-Party Services

AERP may integrate with third-party services you choose to connect, such as Telegram (for sign-in, bot notifications and support), payment providers for billing, and cloud storage for file and avatar hosting. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.

9. Suspension and Termination

You may stop using the Service and close your account at any time from your account settings or by contacting support.

We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms (including the Acceptable Use section), fail to pay applicable fees after notice, or if required to do so by law.

Upon termination, your right to use the Service ends immediately. We will retain Customer Data for a reasonable period to allow export, as described in our Privacy Policy, after which it may be deleted or anonymized.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, Abror Programming LLC shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Service.

Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify and hold harmless Abror Programming LLC and its employees from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your violation of applicable law or the rights of a third party.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably through good-faith negotiation shall be submitted to the competent courts of Tashkent, Uzbekistan, unless mandatory law provides otherwise.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service or for legal, regulatory or security reasons. We will post the updated Terms on this page with a new "Last updated" date and, for material changes, provide additional notice through the Service, email or Telegram. Continuing to use the Service after changes take effect constitutes acceptance of the updated Terms.
